To make amendments to your Michigan corporation, file a Certificate of Amendment to the Articles of Incorporation with the state of Michigan Department of Licensing and Regulatory Affairs (LARA). The Certificate of Amendment is available on the LARA website or in your online account when you sign up for resident agent service with Northwest. Use of LARA forms is optional. If you want to draft your own documents, be aware of what information is required.
Submit one original amendment for filing. The form can be submitted by mail or in person. If you mail in the form include a check or money order payable to “State of Michigan.” Include your corporations name and identification number on the check or money order. If you walk-in you may pay filing fees with VISA or MasterCard.
A Michigan corporation may restate the articles of incorporation. It may also adopt a new amendment at the same time by issuing restated articles of incorporation. If the restated articles of incorporation include a new amendment, the amendment must be approved by the shareholders.
You should amend the Articles of Incorporation to include changes in the corporation’s name or purpose.
LARA does not accept amendments to report changes in a corporation’s resident agent or registered office and the names and addresses of current officers and directors. You should note those changes in annual report.
There is a base filing fee of $10 for corporate amendments. There are additional fees if you increase the authorized shares of a corporation. The instructions on the amendment form can help you calculate your fees. There are additional fees for expedited processing:
24 hours – $100
Same day – $200
Two hour – $500
One hour – $1000

Upon filing, the Certificate of Amendment will be stored by LARA as an electronic record. The original will be returned by mail to your registered office address, unless you enter a different address on the amendment form.
